THE CONSTITUTION OF THE MEMPHIS CRICKET CLUB

ARTICLE I: NAME
The name of this organization shall be Memphis Cricket Club, hereinafter referred to as MCC.

ARTICLE II: PURPOSE
The purpose, for which MCC is formed, is to promote the development of the sport of cricket within Memphis and the Greater Memphis area through education, organization and competition.

ARTICLE III: MEMBERSHIP
The membership of the MCC shall be set out +in the by-laws, which shall prescribe the membership qualifications, the provision for admission of new members and the provisions for the suspension, termination and reinstatement of membership.

ARTICLE IV: GOVERNMENT
The Government and the control and management of all properties of the MCC shall be vested in the Executive Committee as set forth in the by-laws which shall provide for the definition of the Executive Committee, the election of the Executive Committee of the MCC, their terms in office, their powers and their duties.

ARTICLE V: AFFILIATION
The MCC shall follow all the rules and regulations of Parks and Recreation Department, City of Collierville. MCC will also recognize the International Cricket Council (ICC) and United States of America Cricket Association (USACA) for the rules and conditions under which game is played.

ARTICLE VI: AMENDMENTS
Amendments to this constitution, or to its associated by-laws, shall be made by the Executive Committee. At least 50 % of the members who are eligible to vote as per conditions set forth in by-laws must sign the proposal before it is decided by the Executive Committee.

ARTICLE VII: USE OF CRICKET PITCH
Collierville Parks & Recreation has given exclusive rights to MCC to play cricket at Progress Road, Collierville, TN 38017. It is very imperative all rules & regulations of the park are followed at all times. No member or non – member can play cricket at the pitch without the prior approval of the committee.

ARTICLE VIII: EFFECTIVE DATE
The effective date of this constitution shall be February 15th, 2008.



BY-LAWS OF THE MEMPHIS CRICKET CLUB

SECTION I: MEMBERS
  1. Member may be any individual (16 years or above) residing in Memphis or the Greater Memphis Area subject to necessary acceptance by the Executive Committee.

  2. An individual who is admitted as a member of the MCC will have to follow all the rules and regulations enforced by Parks and Recreation Department, City of Collierville and MCC and can only participate in the practice games, games with other teams and meetings while in good standing with respect to discipline and payment of annual ees/ monthly dues / fees (whichever applicable)

  3. There shall be a $125.00 initial joining fee. The monthly / yearly membership fee shall be set each year by the Executive Committee in accordance with the needs of the MCC. The fees shall be paid by 10th day of every month or 10th day of each quarter month (This can be set forth with the consultation of regular members). There shall be a late charge after the due date, the amount to be determined by the Executive Committee and shall not exceed 100% of the monthly fee.

  4. Players under the age of 16 would be admitted as honorary members. There would be no joining and monthly fee for honorary members. Parents / Legal Guardians of these honorary members must sign the consent form and agree with conditions described below in paragraph 5.

  5. All members while on or off the field would be required to take necessary safety precautions to avoid injuries during the game. They are required to wear the necessary protection gear. It would be sole responsibility of members or honorary members to buy their own protective gear. MCC will not provide any protective gear. All members would be required to sign a consent form. By signing this form they would agree that City of Collierville (Parks and Recreation), MCC, its executive committee or any of its members or honorary members would not be responsible for any injuries sustained by any member / honorary member resulting due to direct or indirect negligence of MCC, its Executive committee, members or honorary members. All members will forego their right to any legal action thus relieving City of Collierville (Parks and Recreation) as well as MCC, its Executive Committee, members and honorary members of any liability. In case of any injury, all members or honorary members would be responsible for calling the ambulance and seeking medical help. MCC does not have any resources and will not provide any medical or first aid help.

  6. If any member / honorary member choose to bring a guest player with him, he may do so with the prior permission of Executive Committee / Captain. Executive Committee / Captain have the right to deny such permission, without any explanation. If the guest player is allowed to play then that will be on his risk and all the conditions described in paragraph 5 (Section 1) will apply to him. MCC or any of its member / honorary member will not be responsible for any injury or loss sustained by the guest.

  7. When applicable, any member who does not pay his dues in time for three successive months or six months in one calendar year would be stripped of his membership. In order for the member to be eligible for reinstatement, it shall first pay the amount owed to the MCC including a penalty equal to the initial joining fee.

  8. A member who joins MCC after April 15th, 2008 would be eligible to vote for Executive Committee 6 months after becoming member of MCC and can contest the elections for Executive Committee 12 months after becoming member of MCC, provided he has paid his dues regularly and there is nothing outstanding against him before the Elections.

  9. Honorary members are neither eligible to vote nor to contest elections.

SECTION II: EXECUTIVE COMMITTEE
  1. The Executive Committee of the MCC shall consist of five individuals, elected from the members who are eligible to contest the elections.

  2. The term of office for the Executive Committee is one year.

  3. Elections shall be conducted at the Annual General Meeting (AGM).

  4. Each of the elected committee members shall be eligible for re-election at the end of their term of office.

  5. By-election for the post of a committee member will be held if any elected member relocates from Greater Memphis Area or does not pay his dues in time resulting in the suspension of his membership. The members willing to contest the by-elections must fulfill the requirements for election as described in paragraph 4 (Section II). The by-election would be valid for the remaining duration of the term .

SECTION III: DUTIES OF THE EXECUTIVE COMMITTEE
  1. The Executive Committee shall be the governing body of the MCC. For the 2010 calendar year MCC’s executive committee will be:
    1. Kiran Parupudi, President
    2. Ravi Kundurthi, Vice President
    3. Venkat Maddipatla , Secretary, Treasurer
    4. Darshan Sampat, Captain
    5. Ashish Vaidya, Vice Captain

  2. The Executive Committee shall have control and management of the property and funds of the MCC.

  3. See 'Additional Roles and Responsibilities' section for more information.

  4. The Executive Committee shall hold not less than 4 meetings per year.

  5. Each committee member shall have one vote each at the meetings of the Executive Committee. Decisions would be based on simple majority. Executive Committee Meetings will have a quorum of 3 members. Admission to and participation in an Executive Committee meeting shall be limited to committee members, and to such other members / honorary members as invited by the Executive Committee. Only committee members will participate in any votes that may take place at such meetings.

  6. All records of the MCC shall be turned over to the new Committee members at the end of the term of the existing committee.

  7. The Executive Committee shall appoint Sub-Committees as deemed necessary to conduct the business of the MCC. Members of Sub-Committees may come from any interested parties. The recommendations of all Sub-Committees will be subject to scrutiny and approval by the Executive Committee.

SECTION V: FINANCE
  1. The funds of the MCC shall be deposited by the Treasurer in a bank or banks to be named by the Executive Committee.

  2. Disbursement from general funds shall require budget approval of the Executive Committee where after the Treasurer of MCC will make appropriate payments(s). At least 2 members of the Executive Committee will be signatories on all MCC bank accounts to allow efficient operations in the absence of the Treasurer.

  3. Prior to the beginning of the cricket season, either the Finance Committee or the Treasurer shall prepare a budget of the estimated expenditures for the ensuing year. The budget shall be submitted to the Executive Committee for approval. Upon approval, the budget shall stand as the limit of expenditure for the purpose specified. Additional expenditures, whether in excess of the budget or for other purposes, shall not be expended without prior approval of the Executive Committee.

  4. The Treasurer shall make a full report of the finances of the MCC to the Executive Committee. This report, together with any related amendments, must be approved by Executive Committee.

SECTION VI: MEETINGS
  1. The general meeting held at the end of the year, for which 15 days written notice will be given, shall be called the Annual General Meeting (AGM) and shall be for the purpose of electing committee members, debating and approving reports from the Executive Committee, and considering written resolutions from either the Executive Committee or member. The presence of 51% of the voting members will constitute a quorum for a general meeting (AGM or EGM)

  2. An Extraordinary General Meeting (EGM) shall be called at any time, following a resolution from the Executive Committee, or at the request of at least 51% of voting members. At least ten days notice of such a meeting, specifying the business to be transacted and the date, time and place of the meeting, shall be communicated to each member.

  3. Resolutions shall be carried by a simple majority vote. Candidates receiving the greatest number of votes in an election of officers shall be considered elected. When there are two or more candidates for an office a vote must be taken until there is a clear winner.

  4. Absentee and/or Proxy voting shall be permitted if the following conditions are followed. The vote is submitted in writing, signed and dated by a member. The specific issue on which the vote is being cast is clearly stated. Faxed or E-mail copy is considered acceptable.

SECTION VII: DISCIPLINE
  1. It shall be a disciplinary offence for any committee member, member or honorary member, in the course of or in connection with a match or any other circumstances, to act in a manner likely to prejudice the good name of the MCC or City of Collierville (Parks and Recreation), and the individual committing the offence shall be liable to a penalty.

  2. Before any penalty is imposed there shall be a Disciplinary Hearing before the Executive Committee. At least seven days in writing of the hearing and of the offence alleged shall be given to the committee member, member or honorary member. The player shall be entitled to attend the hearing and to call witnesses.

  3. If at the Hearing the Executive Committee find the alleged offence proved, it shall have the power to impose one of the following penalties:
    a) Expulsion from the Club
    b) Suspension
    c) A reprimand
    d) A fine
    e) Suspension & Fine both.

SECTION VIII: AMENDMENT OF BY-LAWS
  1. Executive Committee has the power to amend these By-laws. Members can make a request to review or to amend the By-laws in AGM. The proposal must be initiated by at least 51% or more members eligible to vote. Executive Committee will review the proposal and accord its decision. The decision of the Executive Committee would be final.



ROLES AND RESPONSIBILITIES

  1. President
    Duly elected for 1 year term
    Is responsible for the vision of the club
    Is the head of the Executive-Committee/Leadership team
    Overall responsibility for the proper running of the Memphis Cricket Club
    Ensure club operates in the interests of players
    Can be a player or only a administrator or both
    Chairs and hosts meetings/presentations
    Welcome new players/families to club
    Principle escalation point to address issues/problems

  2. Vice President
    Duly elected for 1 year term
    Has the same responsibilities as the President of the club
    Is part of the Executive-Committee/Leadership team

  3. Treasurer
    Will be responsible for all the financial and accounting responsibilities of the club
    Is part of the Executive-Committee/Leadership team

  4. Secretary
    MCC's chief communicator
    Is part of the Executive-Committee/Leadership team
    Works toward providing PRESS coverage (newspapers / TV / other-media)
    Is responsible for summarizing all games and posting blogs on MCC's website
    Maintain the MCC website

  5. Captain
    Captains the cricket team as a player and leader on the field
    Provides a match report for every game
    Is part of the Executive-Committee/Leadership team
    Is accountable for the performance of the team

  6. Vice Captain
    Supports Captain in all activities
    Is part of the Executive-Committee/Leadership team
    Leads the team in the Captain's absence

  7. Leadership Team
    Will consist of President, Vice President, Club Secretary, Treasurer, Captain and Vice Captain....This leadership team should:
    Meet at least once a month
    Be responsible for the recruitment drive
    Draw out the plans for the club and make it happen
    Name the batting, bowling, fielding and training coaches....define their responsibilities and demand accountability
    Create awareness in community
    Select teams for games
    Be able to invite other members from the team & community (as required) for all activities
    Provide guidelines or code of conduct for all members of the team
    Establish fee structures and create fund raisers

  8. Players
    Be part of the club and play on the team
    Show up for practice sessions
    Be available for at least 80% of the games
    Follow the code of conduct and other guidelines etched out by leadership team
